Leadership Transition Announced
HDFC Bank's Managing Director and CEO Sashidhar Jagdishan has decided not to seek another term, with his current tenure ending on October 26, 2026. The bank said in an exchange filing that its board had tried to persuade Jagdishan to continue, but he remained firm on his decision. The board has now decided to accelerate the process of identifying his successor, according to The Economic Times.
Jagdishan, who took over as CEO on October 27, 2020, succeeding Aditya Puri, oversaw the merger of HDFC Bank with Housing Development Finance Corp Ltd, creating one of India's largest financial services firms. His tenure was marked by resilient asset quality and the successful merger, though returns to shareholders and profitability metrics have lagged, as noted by Macquarie (reported by Livemint).
Market Reaction
Shares of HDFC Bank rose around 2% in early trade on Monday, with reports of gains ranging from 2% to 3% depending on the source. The stock climbed 7% to Rs 75 on the BSE, outperforming a weak broader market, according to Moneycontrol and Free Press Journal. At 09:35 am on August 31, the Sensex was down 291 points or 38% at 76,973, while the Nifty was down 122 points at 24,054, per Moneycontrol.
The shares, which were about 40% foreign-owned as at June-end, are down about 26% so far this year, as reported by Livemint. The Economic Times noted the stock is down 28% year-to-date, compared with a 10% decline in the Sensex.
Succession Speculation
Reports suggest the board is considering both internal and external candidates. Deputy Managing Director Kaizad Bharucha has emerged as a potential internal candidate, according to multiple reports. Bharucha has been on the board since 2014 and became Deputy MD in April 2023. However, the 15-year cap set by the Reserve Bank of India on the tenure of a Whole-Time Director at a private bank presents a limitation, as Bharucha's current term runs until 2029, The Economic Times reported.
Former State Bank of India chairman Dinesh Khara is also being considered for the MD and CEO position, according to CNBC-TV18 (as cited by Moneycontrol). Khara had earlier been approached for the part-time chairman role at HDFC Bank but declined, Moneycontrol reported.
Moneycontrol reported that HDFC Bank expects to appoint its new CEO "well before" Jagdishan's retirement on October 26, with the board potentially considering both internal and external candidates. Reuters has reported that Bharucha could be among those considered, Moneycontrol noted.
Brokerage Reactions
Several brokerages maintained bullish ratings on the stock, though some adjusted target prices. Bernstein maintained its 'outperform' rating with a target price of Rs 1,150, implying around 60% upside, according to The Economic Times and Free Press Journal. Morgan Stanley maintained its 'Overweight' rating with a target price of Rs 1,025, seeing Bharucha and Jimmy Tata as leading internal candidates, The Economic Times reported.
JPMorgan maintained its 'overweight' rating with a target price of Rs 990, though it warned of short-term pressure from the transition, as reported by Free Press Journal. Jefferies retained a 'buy' rating but reduced its target price to Rs 880 from Rs 1,050, and lowered FY27-29 earnings estimates by 3% each, citing potential pressure on deposit growth and fee income, Free Press Journal reported.
Nomura maintained its 'Buy' rating with a target price of Rs 950, while Nuvama maintained its 'Buy' rating but cut its target price to Rs 875 from Rs 1,025, according to The Economic Times. ICICI Securities maintained its 'buy' recommendation but cut its target price to Rs 920 from Rs 1,020, The Economic Times reported.
IIFL described Jagdishan's departure as neutral to mildly positive, noting that an external appointment could deliver a broader leadership reset, Free Press Journal reported. Antique Stock Broking said a transition to a new CEO is a better outcome as the focus shifts to strengthen governance, execution, and the bank's overall franchise, Livemint reported. P. Morgan analysts said an expedited and timely appointment could help reduce the overhang of uncertainty, Livemint noted.
